This guide explains Consolidated Bank of Kenya Ltd & another v Chebon and the documents to prepare for an independent consultation.
The guarantee wording defeated the discharge claim
The court held that the charge and guarantee contemplated the disputed restructuring. It also found notice service and valuation proved. The bank’s appeal succeeded: the earlier judgment was set aside, the guarantor’s suit dismissed with costs, and the bank permitted to exercise its power of sale. Appeal costs fell on the respondent.
Bring every security instrument in full
A lawyer for a guarantor facing sale after loan restructuring needs the signed guarantee, indemnity, charge and facility letters. Supply complete copies including schedules, incorporated conditions and signature pages. An advocate must be able to identify what obligation was promised, which property secured it and whether several instruments perform different roles. A summary of the amount originally discussed cannot replace the operative wording.
Make a document list with execution dates and parties. Identify missing attachments and request copies where necessary. Preserve amendments as separate documents rather than overwrite the original terms in your explanation. If the bank relies on a continuing obligation, variation provision or permission to grant more time, highlight the actual clause for review and include the surrounding terms.
Map the change to the original facility
Prepare the earlier offer, revised repayment arrangement and correspondence explaining the change. Describe whether it concerns a new advance, conversion of an overdraft, a longer repayment period or allocation among guarantors. Keep the principal borrower’s agreement separate from a negotiation with another guarantor. Mark the matters on which the documents are unclear rather than supply a conclusion from memory.
A lawyer should compare the changed arrangement with the authority expressed in the security instruments. An advocate can assess the argument about consent only after that comparison. The practical question is more precise than whether a meeting took place: what changed, which obligation changed and what the signed documents already contemplated. Preserve the evidence of any objection and the response to it.
Distinguish borrower debt from personal exposure
Bring statements showing advances, interest, payments and credits. Identify whether a demand states the whole facility balance or an amount allocated to you. Record any stated limit and the document where it appears. Do not silently combine the original advance with later facilities or assume that a stated figure in one instrument answers every obligation in another.
An advocate reviewing the account needs a transparent schedule. Label disputed interest, missing credits and payments made by co-guarantors individually. Keep a bank calculation separate from your proposed reconciliation. Explain the source of each figure and its date. This allows advice to address a particular account issue without mistaking the principal borrower’s total indebtedness for an agreed statement of each guarantor’s position.

Collect notices addressed to the borrower and guarantors, delivery material, valuation and auction correspondence. A lawyer should see which person received which document and through what address or method. Preserve returned mail and any evidence about an outdated address. Identify the stage of enforcement and whether an auction date or transfer has been recorded.
An advocate should review contractual exposure and the enforcement process as related but distinct parts of the file. A question about a guarantee clause does not itself establish that every notice is defective. Equally, a repayment dispute requires its own documents. Provide all the material, including papers favourable to the bank, so the consultation assesses the complete record and realistic next steps.
Check which judgment currently governs the dispute
Bring the trial decision, appellate judgment, decree and any later application or order. A lawyer needs to know whether protection previously granted has been reversed, varied or continued by a later order. Mark the exact relief in the latest decision and keep it separate from findings in the decision under challenge. An earlier successful suit may no longer describe the operative position.
Discuss the present objective: review of exposure, negotiations, response to enforcement or assessment of a further challenge. An advocate should explain the available current procedure and its costs after reading the file. This guide gives no discharge, prevents no sale and calculates no liability for another guarantee. The wording and history of the reader’s own transaction remain essential.
