A failed land purchase can turn into a dispute over what the seller actually received and whether the buyer asked for the correct remedy. In Njagi v Njeru, Embu ELC upheld a refund after examining the payment and pleading record. The case is useful for buyers facing denial of instalments or a changed completion position.

The appeal challenged the refund rather than a completed transfer

The transaction concerned Kyeni/Mufu/7235 at an agreed price of KSh 1,700,000. The seller challenged a KSh 720,000 refund, disputing payments and the agreements relied upon. The land had been subdivided and one resulting portion sold elsewhere.

The court compared admissions with documentary payments

The ELC examined deposit slips and the seller’s bank statements, as well as the agreement acknowledging receipt of KSh 720,000. It did not accept the seller’s lower account as resolving the case.

An Embu property advocate should create a payment schedule with date, amount, sender, recipient and supporting record. Separate the acknowledged contractual deposit from later payments and competing claims. The purpose is to identify the amount proved, not simply produce the largest total mentioned in correspondence.

If money went to another person’s account or phone, provide the instruction or acknowledgment linking it to the purchase. Do not assume the relationship between the recipient and seller proves authority by itself. Keep original statements and supporting messages so that the advocate can explain each disputed instalment.

The amended plaint included the alternative refund

The seller argued that the refund was outside the claim. The court identified the amendment adding an alternative prayer for refund of monies advanced and interest. That answered the pleading objection on the record before it.

For a buyer whose preferred transfer is no longer practical, review the relief actually pleaded. A request for the land may need an alternative recovery route, but its inclusion should be considered carefully and in time. An advocate can assess amendment, the amount sought and the evidence supporting it.

The alternative prayer should be distinguished from an automatic entitlement. It permits the court to consider the remedy; the purchaser still needs to prove the payments and the legal basis for recovery. A generic request for justice cannot replace a clear claim and supporting account.

Conflicting agreement accounts needed a coherent explanation

The ELC considered the pleaded reliance on the November 2018 agreement and the seller’s position concerning it. The appeal was dismissed with costs to the respondent, leaving the refund decision undisturbed.

Where parties signed more than one document, place them in sequence and identify whether the later instrument supplements, replaces or records performance under the earlier one. Do not label it an addendum solely because it came later. The wording, signatures and contemporaneous conduct need to support that description.

Bring all versions to the advocate, including documents that appear inconsistent with the desired position. A denial of signature, an admission of payment and an alternative allegation of breach can raise different evidential questions. The consultation should identify which proposition can actually be supported.

The article does not add a new damages total

The reported narrative includes competing payment figures. The operative refund upheld was KSh 720,000; this analysis does not substitute another amount by adding every figure quoted by the parties.

For implementation, obtain the decree and review interest, costs and any subsequent order. A judgment’s discussion of amounts is not itself a fresh award for each amount. The advocate should explain the actual recoverable sum and the required enforcement steps on the full record.

Records for an Embu land-refund consultation

  • All signed agreements and later amendments.
  • A transaction-by-transaction payment schedule.
  • Statements, receipts and acknowledgments.
  • Instructions for payments to third parties.
  • The parcel’s current register and subdivision history.
  • Pleadings showing the remedy actually sought.

Those documents help distinguish a recoverable payment claim from an unsupported estimate. They also allow an advocate to identify whether the land remedy, the money remedy or both remain available for consideration.
