12. How the relationship of partners is to be governed.
(1)Except as otherwise provided by this Act, the mutual rights and duties of the partners of a limited liability partnership, and the mutual rights and duties of a limited liability partnership and its partners, are governed—(a)by the limited liability partnership agreement; or(b)if there is no such agreement or there is such an agreement but it does not deal with a particular matter, by the First Schedule.(2)Any reference to a resolution of the partners in relation to a particular matter is reference to a resolution passed by all of the partners unanimously or by such number of them as may be specified by the limited liability partnership agreement as the number required to pass such a resolution.
