2. Interpretation
In these Regulations, unless the context otherwise requires —“beneficial owner” means a natural person who ultimately owns or controls a legal person or the natural person on whose behalf a transaction is conducted, and includes those persons who exercise ultimate effective control over a legal person or arrangement;“broker-dealer” means a person who—(a)makes or offers to make with any person, or induces or attempts to induce any person to enter into or offer to enter into, any agreement for, with a view to buy, sell, exchange or subscribe for securities; or(b)solicits or accepts any order for, or otherwise trades in securities;Source: Kenya Law
