THE PROPOSED ACQUISITION OF 65% OF THE ISSUED ORDINARY SHARE CAPITAL OF KITENGELA INTERNATIONAL SCHOOL COMPANY PLC BY ENKO ED LIMITED

IN EXERCISE of the powers conferred by section 42(1) of the Competition Act, the Competition Authority of Kenya excludes the proposed acquisition of 65% of the issued ordinary share capital of Kitengela International School Company Plc by Enko Ed Limited from the provisions of Part IV of the Act due to the following reasons—
(a)the merger will not affect competition negatively; and
(b)the combined turnover of the parties, which is higher than value of assets, was KES 773,802,118 for the preceding year, 2024. This is less than KES 1 billion but above KES 500 million and therefore, the transaction meets the thresholds for exclusion as stipulated in the Competition (General) Rules, 2019.
