Decision analysed: Mitchell Cotts Freight Kenya Limited v Paleah Stores Limited — [2025] KEHC 9455 (KLR) — 27 June 2025

Court: High Court at Mombasa

The dispute

A logistics creditor petitioned to liquidate a company for a disputed remaining USD 94,202.68 after earlier statutory-demand litigation and payments. The company applied to strike out the petition on grounds similar to its earlier unsuccessful challenge. Previous orders had permitted insolvency proceedings after non-compliance with security directions.

What the Court decided

The Court dismissed the company strike-out application out of deference to the earlier coordinate-court orders and directed the petition to proceed before Wangari J. Costs were to abide the petition outcome. It did not make a liquidation order; the creditor still had to satisfy the Court at the petition hearing.

What this decision does and does not establish

Section 427 preserves the Court choices on the liquidation petition, including dismissal or adjournment. A failed strike-out motion does not establish final insolvency or entitlement to liquidation. Reconcile payments and exact balances without duplicating credits. The narrative has inconsistent dates for earlier orders; use certified orders, not an assumed chronology. Corporate liquidation and personal bankruptcy use different prescribed processes.

Choose a document for the procedural task

Unpaid Logistics Balance — Company Liquidation Petition Particulars

Use the applicable Insolvency Act and current Insolvency Regulations, the correct personal-bankruptcy or company-liquidation prescribed form, supporting affidavit and complete financial disclosure. Check jurisdiction, standing, notices, advertisement, service and actual Court directions. This is substantive wording, not a completed statutory filing pack. Substantive reconstruction, not a completed corporate prescribed form. Check Insolvency Act sections 384, 424–425 and 427 and current Regulations. The source ruling did not determine the petition or appoint a liquidator. Apply the relevant personal-bankruptcy or corporate-liquidation provisions and prescribed procedure, rather than treating every insolvency application as an ordinary civil motion.

Disputed Logistics Debt — Historical Motion to Strike Out Liquidation Petition

Use the actual existing cause, applicable power and precise interim or substantive prayers with genuine supporting evidence. Disclose adverse facts, earlier applications, current orders and delay. Complete affidavit, exhibits, urgency certificate only where justified, fee and service under current directions. A proposed corrected motion does not establish that the missing facts or procedural permission exist. Historical losing procedural route. No allegation that new payments or successful appeals actually existed is supplied. Check the real prior record and proper review or appeal route. Apply the relevant personal-bankruptcy or corporate-liquidation provisions and prescribed procedure, rather than treating every insolvency application as an ordinary civil motion.

Corporate Debtor Payments and Earlier Orders — Supporting Affidavit

Complete the deponent identity, authority and actual personal-knowledge or identified-information basis. Index and authenticate genuine exhibits; missing exhibits are not supplied by this text. An affidavit is evidence, not a vehicle for new unpleaded relief or invented expert conclusions. Obtain any required leave for a further affidavit and complete a valid jurat before a competent authorised person. This specimen is unsworn. Apply the relevant personal-bankruptcy or corporate-liquidation provisions and prescribed procedure, rather than treating every insolvency application as an ordinary civil motion.

USD Logistics Debt — Credits, Security and Prior Order Schedule

This is an evidential or accounting aid, not an originating process or independent proof. Give dates, authors or custodians, admissibility status, actual document pages and transparent calculations. Label missing and disputed items. Obtain the applicable leave or directions for supplementary evidence, serve it and prevent duplicate credits or recovery. Apply the relevant personal-bankruptcy or corporate-liquidation provisions and prescribed procedure, rather than treating every insolvency application as an ordinary civil motion.

Company Liquidation Hearing — Debtor Submissions Under Section 427

Identify pleaded issues, admitted evidence and genuine record pages. Follow directions on length, authorities, filing and service. Submissions do not introduce exhibits or cure missing substantive prayers. Distinguish what a party sought from what the Court ordered, and an unsuccessful historical position from the actual holding. Apply the relevant personal-bankruptcy or corporate-liquidation provisions and prescribed procedure, rather than treating every insolvency application as an ordinary civil motion.
