This article analyses Co-operative Bank of Kenya Limited v Ngugi, decided by Garsen High Court.
A sale did not automatically extinguish the debt
Garsen High Court dismissed the bank’s appeal with costs. It held that selling security does not itself extinguish a debt, but the bank’s shortfall counterclaim was unproved: notice, valuation and accounting evidence were deficient. The decision arose from Mpeketoni CMCC E009 of 2023. It rejected retrospective application of the later movable-security statute while finding repossession unlawful under the applicable hire-purchase analysis. The judgment does not support a blanket rule that every repossession cancels the remaining loan.
Obtain the full loan account
A vehicle sale debt shortfall lawyer needs the finance agreement, repayment schedule and complete account statements. An advocate should be able to reconcile the original advance, payments, arrears and charges before the sale. Provide the documents covering the whole relevant period rather than only the latest demand for a balance.
Identify payments missing from the lender’s account and attach their records. Explain any rescheduling or settlement arrangement with the supporting correspondence. A dispute about the sale should not obscure a separate calculation error in the loan account. The adviser can assess each issue using a clear, dated reconciliation.
Ask for the sale documents and proceeds calculation
Bring the valuation, advertising or bidding record, sale agreement and proof of the price received where available. If those documents have been requested but not supplied, include the request and response. An advocate needs to assess what is evidenced and what remains an assertion by the lender.
Prepare a schedule showing sale proceeds, recovery expenses and the credit applied to the account. Identify the basis for each expense and any supporting invoice. The shortfall claimed should be traceable through those entries. Do not assume that a stated sale price proves the amount eventually credited or justifies every deduction.
Preserve the notice and redemption history
Provide demand letters, repossession notices and correspondence concerning the intention to sell. Explain when each document was received and any response. A lawyer should understand whether you sought the balance needed to redeem the vehicle or attempted a repayment arrangement before disposal.
If the vehicle was jointly registered, include the registration record. Describe the interest claimed and the agreement governing the finance. Keep the contractual provisions alongside the notice record so the advocate can assess the particular obligations. A general clause in another borrower’s agreement cannot establish what was required under yours.

State the agreement date, any variation dates and the date of repossession. An advocate needs those details to assess the applicable law and procedure. Do not assume that a statute mentioned in a recent judgment governs every older transaction or that a contractual clause settles the question without legal review.
If litigation already exists, send the pleadings and operative orders. Distinguish the borrower’s claim concerning the sale from the lender’s counterclaim for the balance. A court may address the two requests on different grounds. The adviser needs the actual reasoning and outcome before assessing appeal, enforcement or settlement options.
Define the disputed amount and your proposed resolution
Calculate the amount you agree is due, the amount disputed and why. Identify whether the disagreement concerns interest, sale value, expenses or missing payment credits. Avoid presenting all disputes as one unexplained assertion that the loan is cleared. A focused account helps the lawyer assess evidence and negotiation scope.
For consultation, send the agreement, full statements, sale account and notices together. State whether you need help defending a shortfall demand, requesting an account or reviewing an existing judgment connected to Mpeketoni Law Courts. A lawyer and advocate can then evaluate the present record. The published result depends on deficient proof in that file and does not promise that another balance claim will fail or that the asset’s sale necessarily paid the entire debt.
