Kamau & another v I&M Bank Limited & 4 others concerned that sequence and several consolidated claims before the Nakuru ELC. The judgment is relevant to a Nakuru land lawyer reviewing a fraudulent transfer and bank auction.
The sale documents became loan-security documents
The property was Nakuru Municipality Block 3/427. Susan Njeri Kamau’s evidence was that title and completion documents were surrendered on the understanding that transfer would follow full payment. She said she received only KSh 5 million in instalments over three years.
The purchaser’s director gave a different account, claiming payment of the balance in cash. The land was transferred to the purchasing company and used to obtain a loan. Default led to an auction in February 2018, while disputes about the underlying transaction continued.
Why the court rejected the asserted cash-payment explanation
At paragraphs 62–71, the court identified contradictions concerning the agreements, dates and payments. The claimed KSh 10 million cash payment was unsupported by an acknowledgement or a satisfactory explanation of its receipt. Completion documents did not establish payment of the agreed price.
The court also questioned the spousal-consent material and the execution of the sale documents. It concluded that the defendants had used the surrendered documents to transfer the property fraudulently, contrary to the completion arrangement.
Non-payment was part of the finding, not a universal rule
The analysis should not be reduced to “any unpaid balance makes a transfer fraudulent.” The court considered the particular agreement, contradictory evidence, consent issue and misuse of the completion documents together.
Another transaction may permit payment after registration or provide a contractual remedy for default. A Nakuru property advocate needs to establish what this client agreed and what the evidence shows before choosing between a debt claim, contractual relief and a title challenge.
Why the later charge did not cure the earlier defect
The court found that the purchaser had not acquired a valid title capable of supporting the subsequent security transaction. Its reasoning at paragraphs 72–78 addressed the consequences for the charge and dealings arising from that transfer.
The result depended on the established defect in this case. A loan, valuation and registered charge should not be described as automatically validating a disputed acquisition; nor should this judgment be presented as cancelling every charge where a seller later complains of non-payment.
The orders in the consolidated judgment
At paragraph 81, the court ordered protection against attachment, sale and interference, declared the acquisition fraudulent and the charge null and void, directed cancellation of the challenged title and restoration of the register to the original owner, and awarded KSh 5 million in damages for breach of agreement.
It also disposed of the company’s associated suit and the bank’s counterclaim and made costs orders. These separate results matter: a reader should not mistake the borrower’s loan balance sought in a counterclaim for money awarded to the successful property claimant.

The court noted that a request to stop an auction had been overtaken by the sale. That observation underlines the difference between preventing a future event and addressing a completed transaction. The pleading and parties may need to reflect the stage actually reached.
Giving a lawyer only the original sale agreement may omit the later transfer, charge and auction trail. All three are necessary to assess the dispute as it now stands.
Frequently asked questions
Does failure to pay a balance automatically cancel title?
No. Kamau involved additional findings about the transfer arrangement, disputed documents and contradictory evidence.
Did the court award KSh 5 million?
Yes, its operative orders awarded that amount as damages for breach of agreement. Collection is a separate issue.
Can an application stop an auction that already happened?
The judgment identified that problem in an associated claim. Relief must address the current transaction stage.
Preparing the instruction for Nakuru ELC
Organise the agreement, payment ledger, completion correspondence, title records, charge instruments and auction papers in one chronology. Identify which fact each document supports. That allows a Nakuru advocate to examine the origin of the title and the subsequent lender dealings together.
