In Mutinda v Ndau, an appeal against disqualification of the transaction firm failed. The decision concerned representation in a pending land suit, rather than final ownership or a damages award.
The conveyancing firm later acted against a transaction party
The dispute followed two sale agreements made in September 2013. The firm of Mwinzi and Associates had drafted those agreements between the parties. The subsequent proceedings concerned titles obtained by the purchasers and their relationship with the agreed land. The seller’s pleadings included allegations of fraud.
The magistrate upheld an objection and barred the firm from representing the purchasers in the suit. The purchasers appealed, arguing that the actual issue concerned erroneous acreage issued by the land registrar, rather than a dispute about the sale. They also relied on their choice of legal representation.
The agreements remained relevant to the trial
The appellate court examined the original plaint and transaction documents. It concluded that the trial would need to consider the sale agreements and their terms. Reframing the complaint as a registrar’s acreage error did not remove the importance of the firm’s earlier role in the transaction.
The court found an advocate-client relationship between the firm and the parties. It considered confidential information and the resulting prejudice to the respondent in contentious litigation. The fact that the original agreements were several years old did not resolve that concern on the record before it.
Disqualification required an evidential assessment
The judgment discussed general principles about choice of counsel, confidentiality, potential witness evidence and real conflicts of interest. It also recognised that merely having acted for a litigant does not automatically establish a conflict. The issue requires evidence connecting the earlier representation with the matters now in dispute.
The court did not say that every lawyer who drafts an agreement must always be excluded from every later land case. Its conclusion followed the firm’s involvement with these parties, the transaction documents the court would need to examine and the confidentiality concern established in this contentious suit.
The appeal did not settle the land claim
The court upheld the magistrate’s decision and dismissed the interlocutory appeal. It directed each party to bear its own appeal costs, taking account of the pending trial and the appellants’ need to engage another advocate. The land suit remained to be determined.
Descriptions of alleged fraud or titles contrary to the agreements must therefore be read within that procedural context. This judgment should not be advertised as a final cancellation of the purchasers’ titles, a completed fraud trial or compensation recovered by the seller.

A person seeking an advocate for a land sale dispute in Voi should provide the agreement, transaction correspondence and engagement records showing the original firm’s role. Include letters sent on behalf of either side, payment instructions and any documents the firm prepared or witnessed. Identify whose confidential information may be relevant.
Supply the current pleadings, the disqualification objection, the ruling and any appeal orders. The new advocate needs to know the current timetable and outstanding directions as well as the merits of the property dispute. Do not assume that an earlier temporary stay continues after the appeal has been determined.
The editorial lesson is to keep representation and transaction proof distinct. Selecting a firm able to act addresses one procedural problem. It does not establish the correct acreage, prove the alleged fraud or replace the register and survey evidence needed for the substantive land claim.
Questions for the first review
Does the old transaction firm automatically have to leave?
No. The court described a factual inquiry into the relevant relationship, information and prejudice. This firm was disqualified on the evidence in this case.
Did the purchasers lose the land in this appeal?
The appeal decided who could represent them. The court expressly recorded that the underlying suit remained pending.
What should a replacement advocate assess?
Review the transaction history, the operative representation order and the current trial directions. Then identify which property issues still require evidence and determination.
