REPUBLIC OF KENYA
IN THE ENVIRONMENT AND LAND COURT AT MERU
ENVIRONMENT AND LAND APPEAL NO [reference]
[ALLEGED VENDOR APPELLANT] v [BUYER RESPONDENT]
MEMORANDUM OF APPEAL
1. The appellant challenges the Githongo judgment in [land case] delivered on [date], identifying the precise monetary decree. The appeal concerns estate authority, the transaction and proof of liability against the appellant. The certified record and filing computation establish the actual procedural position.
2. GROUND 1: the trial Court allegedly treated a beneficiary as having authority to sell an identified estate portion before confirmation or lawful vesting. The relevant agreement and grant dates are identified at [pages]; later confirmation is not assumed to validate earlier dealings retrospectively.
3. GROUND 2: the Court allegedly failed to determine the pleaded misrepresentation, duress and execution issues on the complete evidence. The actual allegations and adverse admissions are identified, rather than presenting the appellant account as an undisputed finding.
4. GROUND 3: the refund was allegedly imposed without adequate pleading and proof that the appellant received the money or bore the legal obligation claimed. The alleged payments to a family member or law firm require an established nexus to her liability.
5. GROUND 4: the Court allegedly awarded special or liquidated damages not sufficiently particularised and proved, and failed to distinguish an invalid transfer from a properly established restitution claim. The appellant challenges this record, not every conceivable remedy following an invalid estate transaction.
6. RELIEF: allow the sustainable appeal; set aside the identified monetary judgment and decree or make the proper appellate disposition; and award appropriate costs. The source appeal succeeded. Do not copy the source questionable time-computation statements as a universal deadline rule; verify current law, certified dates and any required extension.
DATED at [place] on [date]. Signed [party or advocate]. DRAWN AND FILED BY [name and address for service]. TO BE SERVED UPON [each affected person and address].

Use and evidence notes
Identify the exact lower-court judgment or ruling, operative decree, parties, concise grounds and requested disposition. Use the procedure for this particular appellate court: an ELRC appeal and a High Court or ELC first appeal are not Court of Appeal proceedings. Check limitation, any necessary leave or extension, record, fees, service and directions. Filing an appeal is not an automatic stay.

Source facts and limits of the decision
A buyer alleged purchase of half an acre of estate land from a widow/beneficiary for KES 620,000, with a KES 134,456 deposit. The widow said the document was represented as a lease and denied receipt. Payments allegedly discharged a son court debts. The April sale preceded July/August grant confirmation material. The trial at Githongo granted monetary relief.
Meru ELC allowed the widow appeal, awarding lower-court and appeal costs. It held the transaction lacked estate authority at that date and a later grant could not validate it retrospectively. The pleaded and proved link between the widow, payment, breach and special damages did not support the refund result on that record.
Separate contractual transfer, estate administration and restitution. The ruling does not bar every properly pleaded recovery after an invalid sale, and it does not convict a party of a crime. Source payment totals, dates and statements conflict; use originals. Trial specimens belong to the designated Githongo magistrate and appeals to Meru ELC, subject to actual jurisdiction and deadlines.
