6. The Issuer
(1)An Issuer shall be a company incorporated under the Companies Act (Cap. 486) or be of such other form as may be approved by the Authority.(2)An issuer shall unless otherwise approved by the Authority be a newly created entity with no pre-existing creditors or other claims against it other than formation expenses.(3)At least one third of the members of the board of directors of the issuer shall be independent directors.
