In Kerianko & 3 others v PJ Dave Flowers Limited & 3 others, Kajiado ELC reviewed that contest and upheld the trial judgment after the documentary history failed to establish the alleged fraud.
The parties gave different explanations for the transfers
The appellants said the respondents held the titles as security for money advanced to the first appellant. They sought ownership declarations, cancellation of titles and charges, demolition of structures and an injunction.
The respondents relied on executed sale agreements and a registration history supporting purchase. The dispute therefore required examination of the transactions rather than an assumption that possession of the documents established one explanation.
The appeal also challenged the subordinate court’s jurisdiction, arguing that the matter was commercial and exceeded the court’s monetary competence.
The jurisdiction challenge needed an evidential foundation
The ELC accepted the general importance of jurisdiction and that it can be raised on appeal. However, it examined the actual pleadings and the evidence offered for the specific objection.
The appellants asserted a very high property value but had not supplied a valuation supporting the claimed lack of pecuniary jurisdiction. Paragraph 36 explains why an inference about value did not persuade the court.
The court also found that the real dispute concerned proprietary interests in land and whether they were validly acquired. The presence of sale agreements did not transform that particular title dispute into an exclusively commercial claim.
Mutation forms and register entries supported the acquisition account
The judgment examined the subdivision of the original Kaputiei North parcel and later changes to adjoining boundaries. The mutation forms and green cards recorded the relevant changes and registrations.
A later mutation included signatures of the first appellant and first respondent relating to a common-boundary adjustment. The court read these records alongside the chronology and the sale account.
The published text contains variations in some parcel numbers. For a live transaction or new claim, the certified mutation and register documents should be checked directly before repeating an identifier from the narrative judgment.
The fraud account did not displace the documentary chain
The trial court considered consent documents alongside the assertion that transfer material was missing. It also noted that a registrar could have clarified disputed aspects of the registration history.
The first appellant alleged that the money could not be repaid and the titles recovered. The trial judgment recorded no evidence that the alleged refusal had been reported to the authorities at the relevant earlier stages.
After examining the documents and chronology, the appellate court agreed that fraud had not been proved to the required standard. A disagreement over whether the transaction was a loan or sale needed corroborating records, not only a later characterisation.

The ELC declined to interfere with the March 2023 trial judgment. It dismissed the appeal and ordered the appellants to pay its costs.
The judgment describes the earlier successful proprietary claim and rejected counterclaim. This article does not invent a fresh appellate damages figure or claim that every respondent obtained every remedy requested.
The practical result was preservation of the existing trial decision. For someone affected by its enforcement, the trial decree remains an essential document because it defines the precise relief upheld on appeal.
Evidence for a disputed sale or security arrangement
- The signed agreement and every variation.
- Records of the alleged advances and repayments.
- Consents, transfers and registered charges.
- Mutation forms and green cards for the affected parcels.
- Correspondence demanding repayment or return of documents.
- A valuation where monetary jurisdiction is disputed.
A Kajiado land advocate can use those records to connect the parties’ financial dealings with the registration events. Merely labelling an arrangement “security” does not explain why sale and subdivision documents appear in the file.
