A Kwale property lawyer or company land advocate should distinguish a company’s registered land from the estate of a deceased shareholder. In Kwale Development Company Limited v Said, the company sought protection against dealings with a Tiwi parcel. The court granted an interim injunction, preserving the property while the parties’ competing positions awaited a full hearing.

The company feared disposal of its parcel

The application concerned Kwale/Tiwi Beach Block/90. A director said the defendant, a deceased majority shareholder’s son, was arranging subdivision and disposal. The company relied on ownership documents and photographs, and referred to a separate Diani parcel that had appeared in another title.

The defendant disputed the allegations and challenged the documents. He said he had occupied the land with his father’s permission and asserted family and estate-related rights. He also argued that succession issues affected the court’s jurisdiction. These were competing positions in an interlocutory application, not agreed facts resolving every ownership issue.

The title documents supported a prima facie case

The judge examined the company’s title to the Tiwi parcel. The separate Diani title history also raised questions about a transfer following the shareholder’s death without the succession process described by the defendant. On the material before it, the court found a sufficient prima facie basis for temporary protection.

The court then considered the risk of disposal and the balance of convenience. It concluded that preservation posed the lower risk of injustice before the evidence could be fully tested. The judge expressly recognised that relevant documents and the complete chronology still required examination at trial.

The operative order restrained dealings pending trial

The court restrained the defendant and those acting through him from selling, advertising, subdividing, transferring, leasing, charging or otherwise interfering with the identified Tiwi property pending determination of the suit. Costs of the application were awarded to the company. The ruling also gave case-management and hearing directions.

The ruling did not finally distribute the deceased’s estate, award compensation or order the defendant’s eviction. Although eviction appeared in the company’s account of its concerns, the operative orders should be read for what the court actually directed. Scheduled hearing dates do not establish whether a later hearing took place or what its result was.

Separate the corporate and succession records

For practical review, provide the company’s register information, title history and documents identifying the person authorised to act for it. Add any resolutions or instruments relied upon for the proposed land transaction. Keep documents concerning the shareholder’s estate in a separate chronology so the relationship between shares, estate administration and the particular land can be assessed accurately.

A company property advocate reviewing land in Kwale needs the current search, the earlier title and evidence of the threatened dealing. Advertisements, proposed mutations, correspondence and dated site photographs can identify what is imminent. Explain who created each document and whether it concerns this parcel or another property mentioned during the dispute.

Match the protection sought to the actual threat

If the immediate concern is a pending sale, identify the buyer, agreement and completion steps known from the record. If it is subdivision or a charge, identify the relevant application or instrument. A general family disagreement does not itself establish the exact dealing that needs to be restrained. Clear evidence helps assess the scope of a proposed application.

Where someone already occupies the property, distinguish their occupation history from authority to sell or encumber it. Permission to reside and power to dispose are different asserted rights. Preserve the terms of any permission and subsequent communications rather than reconstructing them from memory after litigation begins.

Does a temporary injunction settle the company’s whole case?

No. The court preserved the parcel pending the substantive hearing. A current assessment must check subsequent orders, the sealed injunction and the present register. This article analyses the December 2025 ruling and does not claim that the company later won every remedy in the main suit. For an enquiry, state the specific transaction or activity requiring review and supply both the corporate and property records.
