A landowner who contributes valuable land to a housing project may discover that construction has not started and the title is already held by a project company. The obvious response is to ask a Nairobi Environment and Land Court lawyer to stop further dealings. The dispute-resolution clause can determine how that request must be pursued.
In Gathuku v Kings Pride Constructors Limited & 2 others, the court struck out the suit and application after upholding an arbitration-based preliminary objection. The ruling did not decide whether the landowner’s underlying complaints about performance were ultimately true.
What the landowner alleged
Susan Muthoni Gathuku’s affidavit described a joint venture entered into in 2013 for the construction of 80 apartments on Dagoretti/Riruta/5973. She said a development company was incorporated and she transferred the land to that company as her contribution. Her complaint was that construction had not commenced despite the necessary approvals and attempts to resolve the issue.
Those statements explain the application; they are not a finding that every alleged breach occurred. The defendants raised the agreement’s arbitration clause and disputed the court’s ability to entertain the proceedings in that form.
Why the proceedings failed before a merits hearing
The court treated the existence of the joint-venture agreement and its arbitration clause as undisputed. At paragraphs 10–17 it examined the clause, held that the alleged breach fell within it and upheld the preliminary objection. The application and suit were struck out without an order as to costs.
That outcome answers a procedural question: why this route to court did not proceed. It does not establish that the developer performed the agreement, that the landowner had no substantive rights, or that no properly framed arbitration-related protective application could ever be considered.
The arbitration clause belongs at the start of a case review
Clients often bring an advocate the pages describing the apartments and expected return. The pages containing notices, dispute resolution and appointment of an arbitrator can be equally important. A useful first meeting examines the complete agreement, including schedules and any later variation.
The advocate should identify which disagreements the clause covers, who must receive a dispute notice and what has already been done. A complaint about non-performance may be understandable while the proposed procedure remains incompatible with the parties’ agreement.
Do not confuse urgent protection with final determination
There may be a difference between deciding who breached a joint venture and preserving land while the agreed dispute process takes place. Those objectives should be stated separately. The precise legal basis, competent forum and terms of any requested protection need to be checked against the agreement and current law.
The distinction is illustrated by the separately analysed Njenga v Nyumbani Concepts Limited ruling at Thika ELC. In that case, the court stayed the suit for arbitration while granting interim protection subject to commencement of arbitration within 45 days. That was a different application on different facts. It is useful for comparison, not a claim that Gathuku’s result can be reversed by copying a paragraph.
What a landowner should document after contributing land
A good file shows more than that a promised building is missing. It identifies the owner before and after the transaction, the consideration for the transfer, the company structure and the specific development milestones. If the parties disagree about delay, a dated chronology helps separate missed undertakings from revised arrangements that were accepted.
- The joint-venture agreement and each annexure.
- The transfer documents and current information about the land register.
- Project-company documents relevant to the landowner’s rights.
- Agreed milestones, correspondence and any extensions.
- Requests for meetings and the replies received.
- Dispute notices, proof of service and steps taken towards arbitration.
- Evidence of an immediate threatened sale, charge or other dealing, if urgent protection is sought.

Start with the ruling’s actual disposition. Was the claim struck out, stayed, dismissed after trial or dismissed only at the interim stage? Each answer changes the next question. In this instance, the obstacle was the agreed arbitration route, not a final adjudication of construction defects or fraud.
A review should then identify what remained unresolved. The investor’s loss, the project’s progress and the parties’ obligations may still require evidence. The immediate lesson is to align the procedure with the remedy, rather than repeat the same claim under a different headline.
Frequently asked questions
Did the landowner lose ownership permanently in this ruling?
The ruling analysed here struck out proceedings on arbitration grounds. It should not be reported as a final determination cancelling or confirming all ownership rights in the project land.
Does an arbitration clause mean that a court can never help?
No such general conclusion follows from this ruling. An advocate must assess any available court assistance separately, including the legal basis and scope of interim protection.
Should I send only the project’s marketing material for review?
Send the entire signed agreement, the current land documents and the correspondence. The forum clause cannot be assessed from the brochure.
Before choosing the next step
Write down what you need immediately and what you ultimately want. Preserving the property, receiving apartments, recovering money and resolving control of a development company are different objectives. A focused Nairobi joint-venture case review should connect each objective to the relevant evidence and procedure.
