A buyer can pay the entire price of an off-plan apartment, receive the keys and even let the unit to a tenant, yet still face an auction over the developer’s loan. The difficult question for a Nairobi Environment and Land Court lawyer is then which right can realistically be protected: the apartment itself, the money paid, or compensation for an evidenced loss.
Lutomia v Kings Pride Properties Limited & another is a concrete example. The Nairobi ELC judgment of 13 March 2025 awarded a refund and additional monetary relief against the developers. It should be read as a decision about those defendants’ liability, rather than a promise that every purchaser can stop a lender’s auction.
What happened to the apartment buyer?
Jackson Wandera Lutomia bought an apartment off-plan for KSh 9.5 million. His evidence was that he completed payment in February 2018, received possession and paid a further KSh 508,500 for title-processing expenses. He later discovered an auction advertisement and learned that the development land had been used to secure an Ecobank facility.
The court recorded that the developer’s loan default led to an auction. The purchaser lost the unit, and rent that he had previously received was redirected to the bank. He pursued the developers for a refund, transaction expenses and rental losses. The two defendants against whom the 2025 judgment was entered did not defend that claim.
Why paying in full did not finish the legal work
Payment, possession, contractual entitlement and a title released from a developer’s financing are different matters. A handover form proves an important event, but it does not answer every question about the mother title, a registered charge or an agreement with the lender.
The editorial lesson is to track those matters separately. A purchaser’s file should explain who promised the unit, who owned the underlying land, where the money went, what the completion documents required and whether a release mechanism existed. Treating one receipt as proof of all five propositions leaves a dispute badly prepared.
The relief the Nairobi ELC actually granted
At paragraph 23, the court ordered the two defendants jointly and severally to refund the KSh 9.5 million purchase price and KSh 508,500 paid for stamp duty and legal fees. It also awarded KSh 990,000 in earlier lost rent and KSh 960,000 for an additional rental-loss period.
The orders separately dealt with KSh 502,750 in bank-related costs, interest on specified items and the costs of the suit. Those components should not be collapsed into an advertised headline award without explaining the conditions and interest dates. Nor does a money judgment itself establish that the defendants have paid.
The buyer lost the apartment but obtained a different remedy
The significance of this case is the change in litigation objective. An investor may initially want an injunction protecting the unit; after the property is lost, a properly evidenced monetary claim may become central. The 2025 outcome was not an order returning the apartment to the buyer.
The dispute also had an earlier Commercial and Tax Division application. In Telagen Investment Limited v Ecobank Kenya Limited; Lutomia [2023] KEHC 2444, the court considered an attempt to intervene in the developer-bank proceedings. That is a different court decision and a different procedural question. An advocate reviewing the file needs both strands before advising about a fresh application.
How to build the evidence for an off-plan refund claim
A useful preparation method is a transaction ledger linked to the documents. Each instalment should have a date, amount, recipient and corresponding receipt or bank entry. Title-processing payments should have their own category. A transfer between the buyer’s accounts is not the same as a payment received by a defendant.
For rental loss, create a second schedule: the tenant, the lease period, the agreed rent, the payments actually received and the point when collection stopped. Explain any change in monthly rent. The judgment itself used different figures for different periods; a claimant should not invent a flat rate merely because a neighbouring apartment commands it.
- Keep the offer, sale agreement and every amendment together.
- Preserve handover documents and the title-processing instructions.
- Obtain the auction notice and the relevant correspondence with the lender or auctioneer.
- Separate rent already earned from an expectation of future rent.
- Keep earlier pleadings, orders and taxed-costs documents in the same litigation history.

The first review should identify the immediate objective and the parties able to deliver it. A claim against a developer for a refund is not interchangeable with an application affecting a bank’s security. Where proceedings already exist, the history matters: a second file should not conceal earlier refusals, consent orders or applications.
Ask the advocate to distinguish contractual breach, an alleged misleading representation and any separate allegation of fraud. This analysis does not describe the civil judgment as a criminal conviction. A convincing property case starts with provable acts, documents and the correct remedy.
Questions buyers often ask
Does an off-plan buyer always get the entire price back?
No. This refund followed the evidence and the outcome in this particular claim. Contract terms, performance, defences and the parties’ positions can change the result.
Can I claim rent without having let the apartment?
Do not equate an advertised rental yield with the actual rental income proved in this case. An advocate must assess the basis, evidence and legal character of your own proposed loss.
Does the judgment prove that the bank acted unlawfully?
The operative 2025 relief discussed here was against the two developers. It should not be presented as a finding cancelling the bank’s auction or its security.
Preparing for a case review
Bring the agreement, a payment schedule, the latest title information, auction documents and every existing court order. A focused case review can then address the realistic route: urgent preservation, a refund claim, quantified compensation or the consequences of earlier proceedings.
