A Homa Bay property lawyer or land advocate reviewing a failed purchase from an heir needs to distinguish transfer of the land from recovery of the money paid. In Nyambok v Ojuka, the seller challenged a refund judgment by arguing that his agreement was illegal. The appeal failed: his lack of authority to sell did not allow him to retain the buyers’ purchase price in the circumstances established.

The buyers paid for a plot before succession was completed

The transaction concerned a fifty-by-one-hundred-foot portion of Kanyada/Kanyabala/2358. The agreement was dated 20 August 2019. The buyers paid KSh 650,000 in two instalments, but received neither the promised land nor repayment.

The property was still registered in the deceased owner’s name. At paragraph 25, the court recognised that the seller had not succeeded to the estate when the agreement was made. The buyers’ original prayers included transfer or an alternative refund with the contractual fifty-percent penalty.

The seller relied on illegality and his offer to repay

The seller argued that a contract made without the necessary estate authority could not support the trial court’s award. He also contended that litigation and costs were unnecessary because he had offered to repay.

These were grounds of appeal, not findings that the buyers had actually been paid. At paragraphs 19 and 22–24, the judge identified admission of the sale, receipt of the price and the seller’s willingness to refund. The court found that neither land nor money had been supplied to the buyers.

The written agreement and admissions mattered

Paragraph 20 noted that the agreement was in writing and signed by the parties and witnesses. The seller’s defence acknowledged breach and asked for time to arrange repayment. His testimony also said that the money was available for refund.

For someone seeking an advocate for an estate land refund in Homa Bay, the relevant file includes more than the title. Preserve the signed agreement, receipts, bank records, demand letters and any written admission. A promise to repay and evidence that repayment happened are different documents.

The court applied equity to the particular transaction

At paragraphs 29–34, the judgment considered statutory illegality alongside authorities on restitution and equitable relief. The judge emphasised that a person should not profit from their own wrongdoing and that equity opposes unjust enrichment.

This reasoning supported the relief in this case. It should not be presented as permission to purchase any estate property without a grant, or as a universal rule enforcing every term of an invalid agreement. An advocate must examine the actual capacity problem, pleadings, admissions and remedy sought.

The appeal upheld refund, interest and the penalty

The trial judgment, reproduced at paragraph 1, ordered repayment of KSh 650,000 together with interest and a penalty of fifty percent of the purchase price. It also awarded costs and interest from filing until payment in full.

At paragraphs 35–38, the Environment and Land Court upheld the trial judgment and dismissed the seller’s appeal. The seller was to bear costs both below and on appeal. The appellate decision preserved the existing award; it did not add a second, separate KSh 650,000 refund.

The purchasers did not obtain a transfer order

The relief upheld was financial. The judgment did not make the buyers owners of the plot or direct registration in their names. It also did not prove that execution later recovered the money.

A current enquiry should include the decree, interest calculation, subsequent payments and any later appeal or stay orders. Those records establish what remains payable and what enforcement steps are available now. The historical decision alone does not establish a debtor’s current ability to pay.

Frequently asked questions
