If you need help from a apartment construction arbitration and transfer injunction lawyer or advocate for a matter connected to Mombasa Court of Appeal, start with the actual orders and documents. This article analyses Eden Developers Limited v China Zhongxing Construction Company Limited, decided by Mombasa Court of Appeal.

A payment claim did not make the apartments security

The Court of Appeal at Mombasa allowed Eden Developers' appeal with costs and set aside the High Court ruling and orders of 26 October 2020. The dispute concerned payment for apartment construction. The apartments were not the subject matter of that monetary dispute or contractual security for it, and purchaser interests mattered. The judgment did not award the contractor the alleged unpaid construction balance or decide the ultimate debt in arbitration.

Start with the construction contract

An apartment construction arbitration lawyer needs the signed contract, schedules, variations and dispute clause. Identify the employer, contractor and any party claiming through them. Keep the document that defines payment rights separate from documents transferring apartments to buyers. The project location alone does not explain who owes whom.

Provide the dispute notices and responses with their actual dates. Explain whether arbitration has commenced and include appointments or procedural directions. An advocate should understand the present stage before considering a court application described as protection pending arbitration.

Reconcile final accounts before seeking protection

Prepare an account showing certificates, agreed variations, payments, disputed items and the balance asserted. Attach the architect's certificates and supporting records. Identify disputed tax or interest components separately. A total in a demand letter should be traceable to the underlying contract and transactions.

Explain the employer's response, including any contention that the final account was inflated or already paid. Supply relevant contrary evidence rather than presenting an acknowledgment in isolation. Your lawyer needs to assess both the payment dispute and the evidential foundation for the proposed interim remedy.

Identify exactly what needs preserving

Describe the asset, evidence or contractual position said to be threatened. Explain how it relates to the issue the arbitrator must determine. A concern about eventual recovery and a threat to the subject matter of arbitration should each have a clear factual account.

Provide dated documents supporting the urgency: proposed transactions, notices or other reliable records. Distinguish something already transferred from something merely advertised. Avoid presenting a broad fear as proof that every apartment must be restrained. The advocate must assess the appropriate remedy against the actual dispute and record.

Map the purchaser interests unit by unit

Bring the title extract, leases, subleases and available sale agreements relevant to the proposed order. Identify which units remain held by the developer and which have acquired third-party interests. State where information is unavailable. A blanket description of the project can conceal material differences between units.

Explain whether buyers have been joined or notified and supply the court documents recording their position. A contractor's contract with a developer does not automatically explain the rights of purchasers. Your lawyer needs this information before assessing the scope and effect of any restraint requested.

Check any alleged security provision

Identify the clause or instrument said to make property security for payment. Supply its executed version and any later change or release. Keep a performance bond distinct from a charge over land. Do not infer a security interest merely because the contractor performed works on the site.

If a guarantee is relied on, identify the guarantor, obligation and triggering event with the documents. An advocate should review the actual undertaking rather than assume that the completed building guarantees the construction debt. Explain any difference between the security originally agreed and what is now being asserted.

Bring the complete application and appeal record

Supply the interim application, affidavits, responses, exhibits and operative orders. Identify the precise restraint sought and its duration. For an appeal, mark the reasoning challenged and the record supporting your position. Keep the court's interim decision separate from any arbitral decision on the debt.

If an earlier injunction was set aside, obtain later orders before describing what dealings are presently permitted. Record any settlement or completed transfer factually. The historical appellate judgment is not proof that a subsequent transaction occurred or that the contractor abandoned its monetary claim.

For lawyer and advocate review at the Court of Appeal at Mombasa of apartment construction arbitration proceedings originating at Mombasa High Court, provide the contract, account and unit ownership schedule. Explain whether you seek payment, resist a transfer restraint or need appeal advice. Eden illustrates why the payment obligation, asserted security and purchaser rights require separate evidence in the proposed application.
